Terms of Service

Effective date: 9 August 2026

These Terms govern your use of the RAS Farm platform, operated by RASFarm OPC, a One Person Corporation registered with the Philippine Securities and Exchange Commission (Reg. No. 2026080262196-15), with registered office at Purok 6, Barangay San Isidro (Canlongon), Dauis, Bohol 6339, Philippines.

By creating an account or using RAS Farm, you agree to these Terms. If you do not agree, do not use the platform.

1. Who may use RAS Farm

You must be at least 18 years old and legally capable of entering contracts. If you use RAS Farm for a farm, co-op, shop or other organisation, you confirm you are authorised to bind it, and "you" means both you and that organisation.

2. What RAS Farm is

RAS Farm provides software: farm management tools (Agribusiness), a marketplace connecting sellers and buyers of agricultural goods (Taboan), and a network for booking delivery runs and contract farm work (Jobs).

We are a platform, not a party to your transactions. When a customer buys produce, the contract of sale is between the customer and the seller. When a delivery run is booked, the arrangement is between the parties to it. RAS Farm facilitates the connection and provides the tools — it does not grow, own, handle, inspect or sell the goods, and it does not perform the deliveries.

3. Sellers — farms, shops, stalls and co-ops

You are responsible for the accuracy of your listings, including description, quantity, price and availability; for the quality, safety and condition of what you sell; for compliance with all applicable laws, including food safety, agricultural, sanitary and permit requirements; and for your own tax obligations on your sales.

You grant RAS Farm a non-exclusive licence to display your listings, business name, farm or stall information and images on the platform and in promotion of it.

4. Riders and contract farm workers

Riders and contract farm workers using Jobs are independent contractors. Nothing in these Terms creates an employment relationship, partnership, joint venture or agency between you and RASFarm OPC.

You choose which runs and jobs to accept and are free to work through other platforms. You are responsible for your own vehicle, equipment, licences and permits; for insurance and safety while working; and for your own tax and statutory contributions.

Pay and distance are shown before you accept a job. Once accepted, you are responsible for completing it as described or cancelling promptly so it can be reassigned.

5. Customers

Provide an accurate delivery address and be reachable when a delivery is expected. Fresh agricultural goods are perishable and naturally variable — appearance, size and weight will vary from what is pictured. Raise problems with an order through the platform promptly so we can help resolve them with the seller.

6. Payments, fees and subscriptions

Online payments on the platform — buying platform credits and paying for subscriptions and platform fees — are processed through PayMongo (GCash, Maya, QR Ph and cards), or made by direct GCash or InstaPay transfer that we verify. The payment providers' own terms apply to the payment itself.

Marketplace orders are paid as shown at checkout — typically cash on delivery, settled directly between the customer and the seller or rider. RAS Farm records the transaction; it does not hold or transmit the purchase money.

RAS Farm charges sellers a commission on completed marketplace sales, deducted from the seller's credit balance, and offers optional paid subscription tiers, marketplace slots and other paid features. Current rates are published at ras.farm/pricing or shown in the platform before you commit. Subscriptions run for the period you pay for: if you switch on automatic renewal, the plan renews from your credit balance until you switch it off; otherwise it ends at the close of the period and your account moves to the free tier. Fees already paid are not refundable except where required by law.

7. Cancellations, refunds and disputes

Orders may be cancelled under the conditions shown in the platform at the time. Where goods are not delivered, are materially different from the listing, or arrive in unacceptable condition, raise it through the platform within the stated window.

We may mediate disputes between users, but we are not obliged to and we are not a party to the underlying transaction.

8. What you must not do

Do not use RAS Farm to break the law; list prohibited, unsafe, stolen or misrepresented goods; impersonate anyone; manipulate ratings, jobs or pricing; take transactions off-platform to avoid fees; scrape, reverse-engineer, overload or interfere with the platform; or harass, threaten or discriminate against other users.

We may suspend or terminate an account that breaches these Terms.

9. Your content

You keep ownership of what you post. You grant RASFarm OPC a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute it for the purpose of operating and promoting the platform. You confirm you have the right to grant this.

10. Disclaimers

The platform is provided "as is" and "as available". To the fullest extent Philippine law permits, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant the quality, safety, legality or accuracy of goods, listings, farms, sellers, riders or workers on the platform, nor that the platform will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent Philippine law permits, RASFarm OPC is not liable for indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, data, crops or goodwill.

Our total aggregate liability arising out of or relating to these Terms or your use of the platform will not exceed the greater of (a) the total fees you paid RAS Farm in the three months before the event giving rise to the claim, or (b) ₱5,000.

Nothing here limits liability that cannot be limited under Philippine law, including liability for fraud, gross negligence or wilful misconduct.

12. Indemnity

You will indemnify and hold harmless RASFarm OPC and its officers against claims, damages, losses and reasonable legal costs arising from your use of the platform, your breach of these Terms, your violation of any law, or your infringement of anyone's rights.

13. Suspension and termination

You may close your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we reasonably believe it is necessary to protect other users or the platform. Provisions that by their nature should survive termination will do so.

14. Changes

We may update these Terms. Material changes will be notified in the app or by email before taking effect. Continuing to use RAS Farm after that means you accept them.

15. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Disputes are subject to the exclusive jurisdiction of the proper courts of Bohol, without prejudice to any right you have under Philippine consumer protection law to bring a claim elsewhere.
